Terms and Conditions:

This Agreement ("Agreement") outlines the terms and conditions governing the contractual relationship between Twin Lakes Technology, LLC, with its principal place of business at 85 Twin Lakes Road, Salisbury, CT ("Twin Lakes"), and the Client, who agrees to be bound by this Agreement. Twin Lakes is a provider of Information Technology Services and the Client wishes to engage Twin Lakes to render such services in accordance with the terms and conditions set forth herein. In consideration of the mutual covenants and promises made by the Parties (individually referred to as a "Party" and collectively as the "Parties"), Twin Lakes and the Client hereby agree to the following terms and conditions.

Contract Term:

This agreement commences on a mutually agreed date and remains in effect for three (3) years, with automatic renewal for successive one-year terms during which the price will increase by at least the cost of living each year unless either party provides written notice of non-renewal at least six (6) months prior to the end of the current term. During the initial three-year term or any renewal terms, there is no option to terminate the agreement except as provided by law. The pricing set forth in the proposal is valid for sixty (60) days from the proposal date.

Payment Terms:

Twin Lakes shall invoice the Client once every two weeks and such an invoice shall be due and payable within 30 days of the Client's receipt of the invoice. Non-Solicitation of Employees: During the term of the Agreement and for 18 months thereafter, the Client will not, directly, or indirectly, recruit, solicit, or induce, or attempt to recruit, solicit, or induce, any of Twin Lakes Technology's employees.

Indemnification:

The Client agrees to indemnify, defend, and protect Twin Lakes from and against all lawsuits and costs of every kind pertaining to the Client's business, including reasonable legal fees, due to any act or failure to act by the Client based upon the Information Technology Services.

Client Requirements:

To effectively perform the agreed-upon Information Technology Services, Twin Lakes Technology's personnel will need access to the Client's individual software applications. Depending on the specific project requirements and scope, access to the Client's network systems may also be necessary. The Client agrees to provide Twin Lakes with the necessary access permissions and credentials to fulfill their contractual obligations.

Confidentiality and Nondisclosure Agreement:

Twin Lakes shall not (i) disclose to any third party any details regarding the Client's business, including, without limitation, any information regarding any of the Client's customer information, business plans, or price points (the "Confidential Information"), (ii) make copies of any Confidential Information or any content based on the concepts contained within the Confidential Information for personal use or for distribution unless requested to do so by the Client, or (iii) use Confidential Information other than solely for the benefit of the Client.

Applicable Law:

The Agreement and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of Connecticut and subject to the exclusive jurisdiction of the federal and state courts located in Litchfield County, Connecticut. IN WITNESS WHEREOF, the Parties have executed and delivered this Agreement effective as of the date of the last signature affixed hereto.

APPENDIX A: Aging, Maintenance, Licensing and Warranty Requirements:

  • PC's, Servers, and network equipment including routers, switches, backup devices, and media should be less than 5 years old or turning 5 years old in the first 11 months of the agreement.

  • Servers should be replaced by the client upon reaching the age of 6 years.

  • Replacement installation, cable runs, camera installs, and all projects listed above are billed outside the monthly service amount at Twin Lakes Technology's hourly rate.

  • Services outside of the listed approved scope above are not included in your contract price.

  • Servers must be covered by an active hardware warranty.

  • Onsite committed hours may vary slightly due to technician absences or weather conditions.

  • Twin Lakes Technology will coordinate warranty diagnostics, repairs, and return to service.

  • PC's (laptops/desktops/Macs) in excess of 5 years in age that fail should be replaced by the client with a new machine or one that is less than 5 years in age.

  • All Servers, Desktop PC’s, and Notebooks/Laptops with Microsoft Windows or Apple operating systems must be running an operating system supported by Microsoft or Apple with support expected to continue for 12 months or more with the latest service packs and critical updates installed. As Microsoft or Apple stops supporting an operating system Client must update their operating system or remove it from any access to the network.

  • Clients will maintain service/support contracts for hardware such as routers, firewalls, switches, and specialty software applications.

  • If the client has software particular to its business installed on its network, the client is responsible for obtaining installation support, training, and continuing technical support from the software provider. Twin Lakes Technology technicians are able to assist with network support but they are not experts in all software applications and rely on the software manufacturer to provide software support.

  • This Agreement covers users and their associated computers and other devices as detailed above. We recommend clients provide a desktop and laptop that are less than 5 years old and in good functioning condition to serve as a hot spare. A hot spare will not be counted as an operating computer for purposes of this Agreement.

  • All server and desktop software must be genuine, licensed, and vendor-supported.

  • The network must have a currently licensed, vendor-supported, server-based backup solution that can be monitored and can send notifications on job failures and successes.

  • The network must have a currently licensed, vendor-supported hardware firewall between the internal network and the Internet.

  • All wireless data traffic in the environment must be securely encrypted.

  • At the time of initiating service for the Client, Twin Lakes will evaluate the Client's network and determine whether all

  • Managed Services Requirements are in place. If they are not in place Twin Lakes will install the required services.

  • Charges for bringing the network into compliance with the requirements will be billed as incurred as additional services.

  • If the systems are not replaced or are out of warranty Twin Lakes reserves the right not to support the equipment under this agreement.

  • Twin Lakes will provide comprehensive maintenance and support services for the school district's existing hardware, software, and network infrastructure. This includes support for installed 3rd party software and line of business applications, as well as troubleshooting and assistance with remote access solutions such as VPN access, remote desktop, and webmail.

  • It is important to note that projects falling outside the scope of maintaining the existing network will be treated as separate engagements and billed accordingly. These projects may include but are not limited to, software upgrades, setting up additional locations, and system changes that expand beyond the current network configuration.
